1. Acceptance of terms

By accessing or using Zuprep ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service. These terms apply to all users, including visitors, registered accounts, and paying subscribers.

2. Description of service

Zuprep is an AI-powered study platform that helps users generate flashcards, quizzes, notes, research summaries, and other learning materials. The Service is provided on a free and paid subscription basis.

3. Accounts

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at legal@zuprep.com if you suspect unauthorised access.

You must be at least 13 years old to use the Service. If you are under 18, you represent that a parent or guardian has reviewed and agreed to these terms on your behalf.

4. Acceptable use

You agree not to:

• Use the Service to generate content that is illegal, harmful, misleading, or harassing.
• Attempt to reverse-engineer, copy, or resell any part of the Service.
• Circumvent usage limits, rate limits, or subscription restrictions.
• Upload content that infringes on the intellectual property rights of others.
• Use the Service to train competing AI models or datasets without written permission.
• Impersonate any person, organisation, or entity.

We reserve the right to suspend or terminate accounts that violate these policies at our sole discretion, with or without notice.

5. Subscriptions and billing

Zuprep offers a free tier and paid Pro subscription plans. Paid plans are billed monthly or annually in advance. You authorise us to charge your payment method on a recurring basis until you cancel.

You may cancel your subscription at any time from the Billing page. Cancellation takes effect at the end of the current billing period — we do not provide prorated refunds for unused time unless required by law.

We may change subscription pricing with at least 14 days' notice. Continued use of the Service after a price change constitutes acceptance of the new price.

6. Referral programme

Users who refer 10 or more new registered accounts through their personal referral link are eligible for a complimentary Referral Pro tier upgrade. Referrals must result in genuine new account registrations. Fraudulent referrals — including self-referral, bot accounts, or duplicate accounts — will be disqualified and may result in account termination. We reserve the right to modify or discontinue the referral programme at any time.

7. Intellectual property

Content you upload or input into Zuprep ("Your Content") remains yours. By using the Service, you grant us a limited, non-exclusive licence to process Your Content solely to provide and improve the Service.

All other aspects of the Service — including the interface, branding, AI models, and generated outputs — are owned by Zuprep or its licensors. You may not reproduce or redistribute them without written permission.

8. AI-generated content

Content generated by the Service is produced by AI and may be inaccurate, incomplete, or outdated. You are responsible for verifying any AI-generated content before relying on it for academic, professional, or critical purposes. Zuprep is a study aid, not a substitute for professional advice.

9. Limitation of liability

To the fullest extent permitted by law, Zuprep and its affiliates, officers, and employees shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, even if we have been advised of the possibility of such damages.

Our total aggregate liability for any claim arising under these terms shall not exceed the amount you paid to Zuprep in the 12 months preceding the claim, or $50, whichever is greater.

10. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.

11. Changes to these terms

We may update these Terms of Service from time to time. We will notify you of material changes by email or by displaying a notice in the Service at least 7 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised terms.

12. Governing law

These terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any disputes shall be resolved in the courts of Delaware, and you consent to personal jurisdiction in those courts.
